1. Legal Notice
These Terms and Conditions of Service ("Terms") govern the use of the services provided by Calk SAS, operating under the business name Calk AI, a French simplified joint-stock company (SAS) registered with the Paris Trade and Companies Register (RCS) under number 941 032 187, with its registered office at 60 rue François 1er 75008 Paris.
By accessing or using the Calk AI website or services, including the Calk platform and associated applications (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
2. Definitions
"User" refers to any natural or legal person who accesses and/or uses the Service.
"Client" refers to the User who subscribes to a paid plan or uses the Service in a professional capacity.
"Content" refers to all data, documents, text, images, files, or other materials submitted, uploaded, or generated through the Service.
"Calk" or "we", "us", or "our" refers to Calk SAS, provider of the Calk AI platform.
3. Description of the Service
Calk AI is a SaaS platform that enables users to train and deploy AI agents based on their own data. Users can connect knowledge sources (e.g., files, cloud storage), select and interact with multiple AI models, and create specialized agents adapted to their business needs.
The Service includes both free and paid plans, subject to limitations and features described on the Calk AI website or in individual agreements.
4. Account Creation and Access
To access the full features of the Service, Users must create an account. Users agree to provide accurate, complete, and up-to-date information. The account is personal and non-transferable.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
5. Use of the Service
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Service to violate any applicable laws or regulations;
Upload or transmit any malicious code, viruses, or any other harmful content;
Reverse-engineer, decompile, or attempt to extract the source code of the Service;
Infringe on the intellectual property rights of Calk or any third party.
6. User Content and Data
By uploading or connecting data to the Service, you represent that you have the legal rights to do so. You retain all rights to your Content. Calk AI does not claim ownership of user content.
Calk may process and store your data solely for the purpose of delivering and improving the Service, in accordance with our Privacy Policy and applicable data protection laws, including the GDPR.
7. Intellectual Property
All intellectual property rights in the Service, including software, algorithms, UI/UX design, trademarks, and documentation, are the exclusive property of Calk SAS or its licensors.
These Terms do not grant you any right to use Calk’s trademarks, logos, or other brand elements without our prior written consent.
8. Pricing and Payment
The use of certain features of the Service may be subject to payment, as detailed on our pricing page. All prices are in Euros and exclude taxes unless stated otherwise.
Payments are processed securely via our payment providers. Subscriptions are billed monthly or annually unless otherwise agreed. You may cancel your subscription at any time, but no refunds will be provided for partial billing periods.
9. Suspension and Termination
We reserve the right to suspend or terminate your access to the Service, with or without notice, in the event of:
Violation of these Terms;
Fraudulent, abusive, or unlawful behavior;
Failure to pay applicable fees.
Upon termination, your right to use the Service will cease immediately. We may delete your content unless legally required to retain it.
10. Warranties and Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the Service will be error-free, uninterrupted, or suitable for your particular needs.
To the fullest extent permitted by law, Calk disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Calk SAS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business, arising out of or related to the use of the Service.
Our total liability under these Terms shall not exceed the amount paid by the User for the Service in the six (6) months preceding the event giving rise to the claim.
12. Confidentiality
Calk and the User agree to keep confidential any non-public information disclosed during the use of the Service, unless required by law or with prior consent.
13. Data Protection and Privacy
Calk processes personal data in compliance with the General Data Protection Regulation (GDPR) and French data protection laws. For more information, please refer to our Privacy Policy.
Users have rights of access, rectification, deletion, and portability of their personal data, which may be exercised by contacting us at hello@calk-ai.com
14. Modifications to the Terms
We reserve the right to modify these Terms at any time. Any changes will be notified on our website or by email. Continued use of the Service after such modifications constitutes your acceptance of the updated Terms.
15. Applicable Law and Jurisdiction
These Terms are governed by French law. Any dispute relating to the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France.
